This document serves as the Charter for the Audit Committee (the “Committee”) of the Board of each registered investment company (the “Fund”) advised by Legg Mason Partners Fund Advisor, LLC or one of its affiliates (“Adviser”) listed on Appendix A hereto (each such Charter being a separate Charter).
